De conformidad con lo previsto en los artículos 43 y 44 de la Ley 3/2009, de 3
de abril, sobre Modificaciones Estructurales de las Sociedades Mercantiles ("LME")
se hace público que los socios de las sociedades Absorbente y Absorbidas, S.L.,
aprobaron el día 15 de mayo de 2021 la fusión mediante la absorción por parte de
la Sociedad Absorbente de las siguientes sociedades: Vertice Solar, S.L.U.; Vertice
Fotovoltaica1, S.L.U.; Vertice Fotovoltaica 2, S.L.U.; Vertice Fotovoltaica 3, S.L.U.;
Vertice Fotovoltaica 4, S.L.U.; Vertice Fotovoltaica 5, S.L.U.; Vertice Fotovoltaica 6,
S.L.U.; Vertice Fotovoltaica 7, S.L.U.; Vertice Fotovoltaica8, S.L.U.; Vertice
Fotovoltaica 9, S.L.U.; Vertice Fotovoltaica 10, S.L.U.; Vertice Fotovoltaica 11,
S.L.U.; Vertice Fotovoltaica 12, S.L.U.; Vertice Fotovoltaica 13, S.L.U.; Vertice

En la medida en que las Sociedades Absorbidas son sociedades íntegramente
participadas de forma directa o indirecta por la Sociedad Absorbente, que las
sociedades participantes en la fusión son sociedades de responsabilidad limitada y
sociedades de responsabilidad limitada unipersonal y que el acuerdo de fusión ha
sido adoptado por unanimidad por los socios Q-ENERGY TYG IV, S.C.R, S.A.; QENERGY IV, F.C.R; y TRETIMERO GREEN S.C.R, S.A., así como por unanimidad
